The interaction between students of different disciplines will enrich the considerations that need to be taken into account before setting up a new business.

Beschrijving

Setting up a new business requires knowledge of the investment, business and tax law framework of a country. Companies around the world are looking for new business opportunities and for new places to set up their investments.

Therefore, this course introduces the issues that from a tax law, business law and investment law perspective, lawyers and business advisors will need to take into account before deciding to invest in a country.

Summary course: 1. Introduction: Setting up of business. Choice of business and countries and engagement letter.
2. PEST analysis (Political, Economical, Social, Technological) and SWOT analysis (Strengths, weakness, opportunities and threats)
3. Legal and corporate requirements
4. Investment law requirements
5. Tax law requirements
6. Discussion mid-term report and letter to the client
7. Power point presentation to the client

Leerdoelen

The course covers introductory elements of tax law, corporate law, investment law and practice. Furthermore, this course will contribute to the development of the following skills:

  • Analytical, organizational and project management skills. Being able to find out the relevant information for the mid-term report and letter to the client and to organize the information in an efficient way taking into account the client’s needs.

  • Writing skills considering the business and the client. To be evaluated in the mid-term report and letter to the client.

  • Oral skills: Power point presentation

  • ICT skills (word, power point) and internet research skills.

  • Social skills: Working in groups including the peer evaluation. Peer-evaluation are a means to give students the opportunity to help one another to produce an acceptable quality of work and to contribute to an acceptable quality of the team’s total output.

By the end of this course the students will have integrated their skills (see above) and knowledge from tax, legal and investment analysis for setting up new business in countries. In addition, students will gain a basic understanding of different countries policies for setting up business, including their risks and challenges, and a basic understanding of the interests of business professionals and the lawyers that advise them.

This course will be given in a seminar form.

This course has a practical approach since the topics to be discussed each week will be also analyzed in practice in the comparative report that students will need to prepare throughout the course. The students will be assigned two countries and they will be required to work the topics discussed in the class in these countries. The final report will produce an advice of which country is favourable for setting up the business.

Students should read material provided by the lecturer before each seminar and be prepared to apply the material to their countries of research.

For the report, students will work in a group (2 to 3 students max.) to ensure the exchange of ideas in the project and also the cooperation between students of different disciplines.

This course is successfully completed when the student has successfully participated in the report, has delivered the documents resulting from executing group tasks (mid-term report, letter to the client and power point presentation) and has produced an evaluation of the group process; his/her own contribution and the actual work done.
