Course information

Anglo-American Financial Law plays an indispensable role in international financial practice. Moreover, American and English legal norms and concepts in this area of law often serve as a source of inspiration for the European and Dutch legislators. In addition, standard documentation in financial transactions often is based on American or English law.
This course focusses on a number of core concepts in American and English financial law. First, the course will give an introduction to English law of contracts in general. In the subsequent weeks, a range of more specific themes will be explored: the regulation and liability of brokers and investment managers in the UK, US securities law and securities fraud litigation, and custody. Lectures will be taught by (guest) lecturers from the Netherlands, the US, and the UK who are experienced professionals in American and English financial law.

Course learning objectives

After completing this course, the student is able to:

  • identify and apply core concepts of English contract law to basic problem questions;

  • solve basic cases on brokers and investment managers liability with reference to relevant rules and case law;

  • identify and apply core concepts of US securities laws; and

  • solve problem questions of international securities custody with reference to relevant rules and case law.

Regulation retake passed exams
In this course it is possible to retake an exam that has been passed (cf. art. 4.1.8.1 and further of the Course and Examination Regulations), on the condition that this course is included in the compulsory components of the degree program. Students who have passed the exam may retake the final written assessment (test) of the course if they meet certain requirements. To retake a passed exam, students need to ask the Student Administration Office (OIC) for permission. Language
This course is taught in English. The course materials consist of English-language literature and lectures will primarily be held in English. As an exception, guest lecturers may give lectures in Dutch.
